General Terms and Conditions of Sale
NBP PARFUMS SAS
**Purpose and Scope**
These general terms and conditions of sale (GTC) form the basis of the commercial negotiation and are systematically sent or provided to each buyer to enable them to place an order.
The terms and conditions of sale described below outline the rights and obligations of NBP PARFUMS and its customer in the context of the sale of goods listed on this website.
Any acceptance of the order form, including the clause "I acknowledge having read and accept the attached general terms and conditions of sale," implies the buyer's unconditional adherence to these terms and conditions.
**Prices**
The prices of the goods sold are those in effect on the date the order is placed. Prices are listed in euros and calculated excluding taxes. As a result, they will be increased by the applicable VAT rate and transport costs on the order date.
NBP PARFUMS reserves the right to modify its prices at any time. However, it agrees to invoice goods ordered at the prices indicated at the time of the order registration.
**Discounts and Rebates**
The proposed rates include any discounts or rebates that NBP PARFUMS may grant based on its results or the buyer's assumption of certain services.
**Early Payment Discount**
No discount will be granted in the event of early payment.
**Payment Terms**
Orders are payable by bank transfer to the account of NBP PARFUMS, with the details provided at the end of these terms.
Payments are to be made under the following conditions: payment 30 days from the end of the month following the invoice date.
**Late Payment**
In the event of total or partial non-payment of goods delivered by the due date, the buyer must pay NBP PARFUMS a late payment penalty equal to three times the legal interest rate.
The applicable legal interest rate is the one in effect on the delivery date of the goods.
This penalty is calculated on the total amount, including taxes, of the outstanding sum and accrues from the due date without requiring prior notice.
In addition to late penalties, any sum, including the deposit, not paid on its due date will automatically result in a flat-rate compensation of €40 for recovery costs.
**Termination**
If, within fifteen days of implementing the "Late Payment" clause, the buyer has not settled the amounts owed, the sale will be terminated by law and may entitle NBP PARFUMS to claim damages.
**Retention of Title**
NBP PARFUMS retains ownership of the goods sold until full payment of the principal and incidental amounts. Accordingly, if the buyer is subject to receivership or liquidation, NBP PARFUMS reserves the right to claim, under the collective proceedings, the unpaid goods.
**Delivery**
Delivery is made to the location specified by the buyer on the order form.
The delivery time indicated at the time of the order registration is only an estimate. NBP PARFUMS will make every effort to meet it but does not guarantee it.
Consequently, any reasonable delay in product delivery will not entitle the buyer to:
- Claim damages;
- Cancel the order.
The transport risk is entirely borne by the buyer.
In case of missing or damaged goods during transport, the buyer must note all necessary reservations on the order form upon receipt. These reservations must also be confirmed in writing within five days of delivery by registered letter with acknowledgment of receipt to NBP PARFUMS.
**Force Majeure**
NBP PARFUMS shall not be held liable for failure or delay in performing any of its obligations described in these terms and conditions due to a force majeure event. Force majeure refers to any external, unpredictable, and irresistible event as defined in Article 1148 of the French Civil Code.
**Competent Court**
Any dispute concerning the interpretation or execution of these general terms and conditions of sale is governed by French law.
In the absence of an amicable resolution, the dispute will be referred to the Commercial Court of Paris.
